Customer Agreement

  • Version 1.0
  • Effective from 1st November 2026
  • Last updated 1st November 2026

These terms set out how Saueglobal Limited provides its services to you. They apply to every order you place with us, alongside the Service Schedule for each service you buy.

Key points

  • Your Order Form or online order says what you are buying, for how long and at what price.
  • Managed services run for a minimum of 12 months and renew automatically unless either of us gives 90 days' notice.
  • Other subscriptions, domain names and hosting renew automatically unless you give 30 days' notice before the renewal date. For a yearly plan, that date is its anniversary.
  • Invoices are payable within 14 days. Late payments attract statutory interest.
  • Our total liability is capped at the fees paid or payable in the 12 months before a claim, with a higher cap for data protection claims.
  • You own bespoke work we create for you once you have paid for it in full.
  • If you are buying as an individual for personal use, our Consumer Terms also apply and give you extra rights.

1. About us and these terms

1.1 We are Saueglobal Limited, a company registered in England and Wales under company number 14104858. Our registered office is at 17 Barons Court Road, London W14 9DP. Our VAT number is GB422703135. In these terms "we", "us" and "our" mean Saueglobal Limited.

1.2 "You" and "your" mean the person, company, charity or other organisation that places an Order with us. If you place an Order on behalf of an organisation, you confirm you have authority to bind it.

1.3 These terms are written mainly for business, charity and public sector customers. If you are a Consumer, the Consumer Terms also apply and take priority over these terms wherever they differ. Nothing in these terms affects your statutory rights as a Consumer.

1.4 You can contact us at support@saueglobal.com or by post at our registered office.

  • Third-Party Terms means the terms on which a Third-Party Product is supplied.
  • UK GDPR has the meaning given in section 3(10) of the Data Protection Act 2018.

2.2 Headings do not affect interpretation. "Including" means including without limitation. A reference to a law includes that law as amended or replaced. "Writing" includes email.

3. How the documents fit together

3.1 The Contract is made up of the following documents. If they conflict, the one listed first takes priority.

  1. The Order, including any special terms in it
  2. The Public Sector Rider, where the Order says it applies
  3. The relevant Service Schedule
  4. The Data Processing Agreement, for anything relating to personal data
  5. These terms
  6. The Policies

3.2 Where you are a Consumer, the Consumer Terms take priority over all of the documents in clause 3.1.

3.3 Third-Party Terms apply to Third-Party Products as described in clause 7.

3.4 The Contract applies to the exclusion of any terms you try to impose, including terms in a purchase order, unless we agree them in writing.

4. Ordering and forming the Contract

4.1 A Contract is formed when one of the following happens:

  • both parties sign an Order Form or Statement of Work, including by electronic signature or
  • for online orders, we send you an email confirming we have accepted your order.

4.2 Quotes and proposals are not offers. They are valid for 30 days unless they say otherwise.

4.3 Each Order forms a separate Contract on these terms. Ending one Contract does not end any other unless the notice says so.

4.4 You must make sure the information you give us when ordering is complete and accurate.

5. What we will do

5.1 We will provide the Services:

  • with the reasonable skill and care of a competent Microsoft technology provider,
  • in line with the Order and the relevant Service Schedule and
  • in compliance with laws that apply to us as the provider of the Services.

5.2 We will use reasonable efforts to meet any Service Levels. Service Levels are targets unless a Service Schedule says they carry service credits.

5.3 We decide which of our staff and approved subcontractors carry out the Services. We remain responsible for the work of our subcontractors.

5.4 Any dates in an Order are estimates unless the Order states that a date is fixed. We are not responsible for delays caused by you, by a Third-Party Product or by an event under clause 24.

5.5 When we work on your premises or systems, we will follow your reasonable security and site rules that you have told us about in advance.

6. What you will do

6.1 You will:

  • give us the information, access, decisions and cooperation we reasonably need, on time,
  • give us administrative access to the systems we manage, and tell us promptly about changes to them,
  • name a contact person who can make decisions about the Services,
  • make sure your users comply with the Contract, the Acceptable Use Policy and any Third-Party Terms,
  • keep your own login details secure and tell us promptly about any suspected unauthorised access,
  • keep your own backups of Customer Data unless backup is part of the Services you have bought and
  • make sure you have the rights and consents needed for us to use Customer Materials and Customer Data as the Contract requires.

6.2 If you do not meet your obligations under clause 6.1, we are not responsible for any resulting delay or failure. We may charge for extra time and costs this causes at our then-current rates, after telling you.

6.3 You are responsible for deciding whether the Services meet your legal and regulatory requirements, unless we have agreed in writing to advise on that point.

7. Third-Party Products

7.1 Many of our Services include Third-Party Products. Microsoft licences are supplied under the Microsoft Customer Agreement. Domain names are registered with GoDaddy or Namecheap as registrar of record and are subject to their registration agreements and the rules of the relevant registry. The Service Schedules give links to the main Third-Party Terms.

7.2 By ordering a Third-Party Product, you agree to its Third-Party Terms. Where Third-Party Terms require you to accept them directly, you must do so before we can supply the product.

7.3 We supply Third-Party Products on the terms and with the warranties their suppliers give. We do not give any wider promise about them. Our liability for a defect in, or failure of, a Third-Party Product itself is no greater than the liability its supplier accepts to us, subject always to clause 19. This does not limit our liability for our own services, such as configuring, supporting or migrating the product.

7.4 Suppliers can change their products, prices and terms. Where a supplier increases its price to us, we may pass that increase on to you with as much notice as we reasonably can. Where a supplier withdraws a product, we will help you move to a reasonable alternative.

7.5 Some Third-Party Products cannot be cancelled or reduced once ordered, or only within a short window. Microsoft subscriptions, for example, can only be cancelled or reduced at renewal, with at least 30 days' notice to us. You must pay for any such commitment for its full term, even if the Contract ends early. The Service Schedules explain the rules for each product.

8. Changes to the Services

8.1 Either party can ask for a change to the Services in writing. We will tell you the effect of the change on the Charges, timetable and anything else relevant.

8.2 A change only takes effect when both parties agree it in writing, using a change request or an updated Order. Until then, we will carry on under the existing Order.

8.3 We keep a record of agreed changes. Work done at your request outside the agreed scope is charged at our then-current rates, unless we agreed otherwise in writing before starting.

8.4 We may make changes to the way we provide the Services that do not materially reduce their quality or function, such as changing tools or subcontractors. We will tell you about any change that affects you.

9. Acceptance of Deliverables

9.1 When we deliver a Deliverable, you have 10 Business Days to test it against the acceptance criteria in the Statement of Work, or against its description if there are no criteria.

9.2 If a Deliverable does not meet those criteria, you must tell us in writing within that period, with enough detail for us to reproduce the issue. We will fix it and redeliver it, and clause 9.1 applies again.

9.3 A Deliverable is accepted on the earliest of:

  • you confirming acceptance in writing,
  • the end of the 10 Business Day period without a valid notice under clause 9.2 or
  • you using the Deliverable in live operation, other than for testing.

9.4 Minor issues that do not stop a Deliverable being used do not prevent acceptance. We will fix them within a reasonable time.

10. Charges and payment

10.1 You will pay the Charges set out in the Order. All Charges are in pounds sterling and exclude VAT, which you will pay at the applicable rate.

10.2 Unless the Order says otherwise:

  • subscription and managed service Charges are invoiced monthly or annually in advance,
  • project Charges are invoiced on the milestones in the Statement of Work or, if there are none, monthly in arrears for time spent and
  • domain, hosting and other online orders are paid in full when ordered.

10.3 Invoices are payable within 14 days of the invoice date. You may pay by bank transfer, Direct Debit or card through our payment provider, Stripe. Recurring Charges paid by card or Direct Debit are collected automatically on each due date.

10.4 If you dispute an invoice in good faith, you must tell us within 14 days of the invoice date, explaining why. You must pay any undisputed part on time. We will both work to resolve the dispute quickly.

10.5 If you do not pay on time, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. Statutory interest runs daily from the due date at the rate set under the Act, which is 8% a year above the Bank of England reference rate. We may also claim the fixed compensation and reasonable recovery costs the Act allows.

10.6 If any amount is more than 14 days overdue, we may suspend the Services after giving you at least 14 days' written notice. Suspension does not stop the Charges running. We may charge a reasonable fee to restore suspended Services.

10.7 You must pay all amounts due without set-off, deduction or counterclaim, unless the law requires otherwise.

10.8 You will reimburse reasonable expenses that you approve in advance, such as travel outside London.

10.9 We may review our own Charges for managed services once a year, with effect from the start of a Renewal Term. We will give you at least 60 days' notice of any increase. If you do not accept the increase, you may end the Contract at the end of the current term by telling us before the renewal date, even if the 90-day notice period in clause 11.2 has passed. Price changes for Third-Party Products follow clause 7.4.

11. Term, renewal and ending the Contract

11.1 Each Contract starts on the date it is formed and continues for the term set out in the Order.

11.2 Managed services continue for the Minimum Term. They then renew automatically for further periods of 12 months, unless the Order states a different renewal period. Either party can stop a renewal by giving at least 90 days' written notice before the end of the current term. Other subscriptions, including Microsoft licences, continue for the term stated in the Order and renew automatically for the same period unless you give us at least 30 days' written notice before the renewal date. The Microsoft Licensing Schedule explains the rules for Microsoft licences.

11.3 Domain names and hosting renew for the same period as the previous term unless you turn off renewal in your account, or tell us in writing, at least 30 days before the renewal date. We will remind you before a domain name expires. In this clause and clause 11.2, the renewal date of a monthly subscription or plan is the start of each billing month, the renewal date of a yearly one is each anniversary of the date it started and the renewal date of a domain name is its expiry date. If your notice reaches us less than 30 days before a renewal date, the subscription or plan renews and ends at the following renewal date.

11.4 A Statement of Work ends when the project is complete and all Charges are paid, unless it ends earlier under this clause.

11.5 Either party may end a Contract immediately by written notice if the other party:

  • commits a material breach that cannot be remedied,
  • commits a material breach that can be remedied and fails to remedy it within 30 days of written notice or
  • becomes insolvent, enters administration or liquidation, makes an arrangement with its creditors or stops trading, or anything equivalent happens anywhere.

11.6 We may end a Contract by written notice if any amount remains unpaid 30 days after we have given you notice under clause 10.6.

11.7 You may end a subscription before the end of its Minimum Term or current Renewal Term by giving us 30 days' written notice. If you do, or if we end it under clause 11.5 or 11.6, you must pay an early termination charge equal to the Charges that would have been payable for the rest of the Minimum Term or current Renewal Term, less any costs we save because we no longer have to provide the Services. You must also pay for any non-cancellable Third-Party Product commitments. This clause does not apply where you end a Contract under clause 11.5, 22.3 or 24.2 or under clause 6.3 of the Data Processing Agreement.

11.8 You may end a Statement of Work early by giving 30 days' written notice. You must pay for work done up to the end of the notice period and any costs we cannot recover, such as non-cancellable third-party commitments.

12. What happens when a Contract ends

12.1 When a Contract ends, you must pay all outstanding Charges and any amounts due under clause 11. Invoices for work done but not yet invoiced are payable straight away.

12.2 For 30 days after the Contract ends, we will:

  • return Customer Data we hold in a commonly used format on request, and then delete it under the Data Processing Agreement,
  • provide domain transfer authorisation codes and unlock domains you have paid for, so you can move them and
  • cooperate with moving Microsoft subscriptions to your new provider, where Microsoft's rules allow.

12.3 Any further exit help, such as handover sessions or migration work, is charged at our then-current rates.

12.4 We may withhold handover of Deliverables and IP assignments until all Charges due have been paid in full. We will not withhold a domain transfer code or refuse to unlock a domain because of unpaid Charges for other Services. We will withhold them for unpaid Charges for that domain name only as far as registry rules and the ICANN Transfer Policy allow.

12.5 Clauses that by their nature should continue after the Contract ends will continue, including clauses 7.5, 10, 11.7, 11.8, 12, 13, 14, 15, 18, 19, 23, 27, 28 and 29.

13. Intellectual property

13.1 We, or our licensors, keep all Intellectual Property Rights in the Saueglobal Materials and Third-Party Products. Nothing in the Contract transfers them to you.

13.2 You keep all Intellectual Property Rights in the Customer Materials and Customer Data. You give us a non-exclusive, royalty-free licence to use them for the purpose of providing the Services.

13.3 Once you have paid the Charges for a Deliverable in full, all Intellectual Property Rights in that Deliverable, excluding any Saueglobal Materials and Third-Party Products in it, pass to you. By this clause we assign those rights to you, including future copyright under section 91 of the Copyright, Designs and Patents Act 1988, with effect from the date of full payment. The Order Form or Statement of Work signed by us is the signed writing required by sections 90(3) and 91 of that Act. For online orders, and for any right that needs a separate signed document to transfer, we will sign a confirmatory assignment after full payment on request. We will sign any further documents you reasonably need to confirm or register your ownership, at your cost.

13.4 Until full payment, we grant you a non-exclusive licence to use the Deliverable for your internal business purposes. This licence ends if the Contract ends before payment is made.

13.5 Once you have paid the Charges for a Deliverable in full, and where it includes Saueglobal Materials, we grant you a non-exclusive, perpetual, royalty-free licence to use them as part of the Deliverable for your own business purposes. You may not sell or license them separately.

13.6 Open-source components in a Deliverable are licensed to you under their own licences. We will tell you about any open-source licence that would require you to publish your own code.

13.7 We may use general skills, knowledge and experience gained in providing the Services for other customers, as long as we do not disclose your Confidential Information.

13.8 We will make sure that our staff and subcontractors who are authors of the Deliverables waive their moral rights in them, to the extent the law allows.

13.9 We may describe you as a customer and use your name and logo in our marketing only with your prior written agreement.

14. Confidentiality

14.1 Each party will keep the other's Confidential Information confidential and use it only to perform or receive the Services.

14.2 A party may disclose Confidential Information to its staff, subcontractors and professional advisers who need to know it, as long as they are bound by similar duties of confidence. A party is responsible for their compliance.

14.3 These duties do not apply to information that:

  • is or becomes public other than through a breach of the Contract,
  • the receiving party already had lawfully before disclosure,
  • the receiving party receives lawfully from someone else without a duty of confidence or
  • the receiving party develops independently.

14.4 A party may disclose Confidential Information where the law, a court or a regulator requires it. Where lawful, it will tell the other party first.

14.5 These duties continue for 5 years after the Contract ends, and indefinitely for trade secrets and personal data.

15. Data protection

15.1 Each party will comply with Data Protection Laws in connection with the Contract.

15.2 Where we process personal data on your behalf in providing the Services, we act as your processor and the Data Processing Agreement applies. It forms part of the Contract.

15.3 We act as a controller of the personal data we use to manage your account, billing, support, security and our relationship with you. Our Privacy Notice explains how we use it.

15.4 You must tell us in advance if the Services involve special category data, criminal offence data or personal data relating to children, including safeguarding records. Clause 7 of the Data Processing Agreement then applies, together with any further safeguards agreed in the Order.

16. Artificial intelligence

16.1 Some Services use artificial intelligence, including Microsoft Copilot, AI agents we build for you and AI tools we use in our own work.

16.2 AI outputs can be inaccurate, incomplete or inappropriate. You are responsible for reviewing outputs before relying on them, and for deciding how AI is used in your organisation.

16.3 We will not use Customer Data to train AI models, other than models built only for you under an Order.

16.4 The AI Services Schedule sets out further terms for AI projects and products.

17. Warranties

17.1 Each party confirms it has the power and authority to enter into the Contract.

17.2 We confirm that the Services will be performed in line with clause 5.1. If they are not, you must tell us within 30 days of becoming aware of the issue. We will re-perform the affected Services at no extra cost. This is your main remedy for a breach of this clause, without affecting clause 19 or your right to end the Contract under clause 11.5.

17.3 We do not promise that the Services or any Third-Party Product will be uninterrupted or error-free, or that they will meet requirements you have not told us about in writing.

17.4 Except as set out in the Contract, all warranties, conditions and other terms implied by law are excluded to the fullest extent the law allows. This clause does not apply to Consumers.

18. Indemnities

18.1 We will indemnify you against losses and costs arising from any claim by a third party that your use of a Deliverable in line with the Contract infringes that third party's UK Intellectual Property Rights.

18.2 Clause 18.1 does not apply to claims arising from Customer Materials, Third-Party Products, changes not made by us or use with items we did not supply or approve.

18.3 If such a claim is made or likely, we may, at our option and cost, get you the right to keep using the Deliverable or modify or replace it so it does not infringe. If neither is reasonably possible, we may refund the Charges paid for it and end the relevant Order.

18.4 You will indemnify us against losses and costs arising from any claim by a third party that:

  • the Customer Materials, or our use of them in line with the Contract, infringe that third party's rights or
  • your or your users' use of the Services breached the Acceptable Use Policy or the law.

18.5 A party claiming under an indemnity must tell the other party promptly about the claim, let it control the defence and settlement, give reasonable help at its cost and make no admission without its consent.

18.6 Claims under this clause 18 are subject to the limits in clause 19, except for the matters in clause 19.2.

19. Limitation of liability

19.1 This clause sets out each party's entire liability under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise.

19.2 Nothing in the Contract limits or excludes liability for:

  • death or personal injury caused by negligence,
  • fraud or fraudulent misrepresentation,
  • wilful default, meaning a deliberate breach of a material obligation, or a deliberate refusal to perform a material part of the Contract, committed by a party that knows it is a breach,
  • breach of clause 14 (Confidentiality), except where the claim is a Data Protection Claim under clause 19.5,
  • your obligation to pay the Charges and other amounts due under the Contract or
  • any other liability that cannot be limited or excluded by law.

19.3 Subject to clause 19.2, neither party is liable for:

  • loss of profits, revenue, business or anticipated savings,
  • loss of goodwill or reputation,
  • loss or corruption of data, where the loss would have been avoided by keeping backups under clause 6.1 or
  • any indirect or consequential loss.

19.4 Subject to clauses 19.2 and 19.5, each party's total aggregate liability under or in connection with each Contract in each Contract Year is limited to 100% of the Charges paid or payable under that Contract in the 12 months before the event giving rise to the first claim in that Contract Year. If that event happens in the first 12 months, the cap is the Charges payable for that first 12-month period. This is the "General Cap".

19.5 Subject to clause 19.2, each party's total liability for claims arising from a breach of clause 15 or the Data Processing Agreement ("Data Protection Claims") is limited to twice the General Cap. Data Protection Claims count only towards this higher cap and do not use up the General Cap. A Data Protection Claim falls under this clause 19.5 even if it also amounts to a breach of clause 14.

19.6 Where a Service Schedule provides service credits for missing an availability Service Level, those credits are your only remedy for that availability failure. Service credits are a price adjustment that reflects the reduced value of the Services, not a penalty. They do not limit your rights for any other breach or your right to end the Contract under clause 11.5.

19.7 Our liability for Third-Party Products is also limited as described in clause 7.3.

19.8 You agree that these limits are reasonable, taking into account the Charges, the availability of insurance and your ability to protect yourself, for example by keeping backups and choosing your own insurance.

20. Insurance

20.1 We maintain professional indemnity, cyber and public liability insurance with reputable insurers at levels we consider appropriate for our business. We will give you evidence of cover on reasonable request.

21. Suspension

21.1 We may suspend all or part of the Services, without liability, where we reasonably need to:

  • deal with a security threat, attack or vulnerability,
  • stop a breach of the Acceptable Use Policy or the law,
  • comply with a court order, regulator, registry or Third-Party Terms or
  • recover overdue Charges under clause 10.6.

21.2 We will give you as much notice as is reasonable in the circumstances, limit the suspension to what is necessary and restore the Services as soon as the reason has been dealt with.

22. Compliance

22.1 Each party will comply with the Bribery Act 2010, the Modern Slavery Act 2015 and the Criminal Finances Act 2017, and will keep adequate procedures to prevent bribery, slavery, human trafficking and the facilitation of tax evasion in its business.

22.2 Each party confirms that it is not a designated person under UK sanctions law, and is not owned or controlled by one. We may suspend or end a Contract immediately where continuing would breach sanctions or export control law.

22.3 Either party may end a Contract immediately by written notice if the other materially breaches this clause 22.

23. Non-solicitation

23.1 During the Contract and for 12 months after it ends, neither party will directly or indirectly solicit or employ any member of the other party's staff who was directly involved in the Services in the previous 12 months, without the other party's written consent.

23.2 This clause does not stop either party employing someone who responds to a general advertisement not aimed at the other party's staff.

24. Events beyond our control

24.1 Neither party is liable for a delay or failure to perform its obligations, other than payment, caused by events beyond its reasonable control. These include natural disasters, pandemics, war, terrorism, cyber attacks that could not reasonably have been prevented, failures of public networks or power, industrial action by third parties and the acts of governments, regulators, registries or Third-Party Product suppliers.

24.2 The affected party must tell the other promptly and do what it reasonably can to reduce the effect. If the event continues for more than 60 days, either party may end the affected Order by written notice.

25. Subcontracting and assignment

25.1 We may subcontract any part of the Services. We remain responsible for our subcontractors under clause 5.3.

25.2 We may assign or transfer the Contract to a company in the same group as us (meaning our subsidiaries and holding companies and any other subsidiary of those holding companies, as defined in section 1159 of the Companies Act 2006), or to a buyer of all or part of our business, by giving you written notice. Your rights under the Contract will not be reduced as a result.

25.3 You may not assign or transfer the Contract without our prior written consent, which we will not unreasonably withhold.

26. Changes to these terms

26.1 We may update these terms, the Data Processing Agreement, the Service Schedules and the Policies from time to time. The version of each published at saueglobal.com/legal when a Contract is formed applies to that Contract.

26.2 Updated terms apply to an existing Contract from its next renewal, if we have given you at least 30 days' notice before the renewal date. If you do not accept the update, you may end the Contract at the end of the current term by telling us before the renewal date, even if the notice period in clause 11.2 or 11.3 has passed.

26.3 We may also apply an update to an existing Contract before renewal where the law, a regulator or a Third-Party Product supplier requires it, or where the update does not reduce your rights or our obligations.

27. Notices

27.1 Notices under the Contract must be in writing and sent by email or post to the addresses in the Order or, for online orders, to the email address on your account. Notices to us must be sent to support@saueglobal.com or to our registered office.

27.2 A notice sent by email is received when sent, or at 9am on the next Business Day if sent outside 9am to 5pm on a Business Day. A notice sent by first class post is received 2 Business Days after posting.

27.3 This clause does not apply to serving court proceedings.

28. Resolving disputes

28.1 If a dispute arises, either party may send the other a written notice describing it. Senior representatives of both parties will meet, in person or online, within 15 Business Days to try to resolve it in good faith.

28.2 If the dispute is not resolved within 30 Business Days of the notice, the parties may agree to refer it to mediation under the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure. Either party may still bring court proceedings.

28.3 This clause does not stop either party seeking urgent relief from a court.

28.4 If you have a complaint about our service, please follow our Complaints Policy first.

29. General

29.1 Entire agreement. The Contract is the entire agreement between the parties about its subject matter. It replaces any earlier agreement or understanding. Neither party has relied on any statement not set out in the Contract. Nothing in this clause limits liability for fraudulent misrepresentation.

29.2 Variation. Apart from clause 26, a change to the Contract only takes effect if agreed in writing by both parties.

29.3 Waiver. A delay or failure to exercise a right does not waive it. A waiver is only effective if made in writing.
